ReComune Call — Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of ReComune Call (“ReComune”, “we”, “us”, or the“Service”). By registering, subscribing, ordering, or using the Service, you (“Customer”) agree to be legally bound by these Terms.

If you do not agree, do not use the Service.

1. DEFINITIONS

  1. Service: A non-medical, non-emergency wellness check-in service consisting of outbound calls made to a designated individual (“Member”) by either an AI caller (ReComune Friend – RCF) or a human caller (ReComune Call Representative – RCR), optional delivery of customer messages, optional questions, optional light conversation, and optional reports or notifications. Features vary by plan.

  2. Customer: The individual or entity purchasing the Service and responsible for compliance with these Terms.

  3. Member: The individual designated by the Customer to receive calls.

  4. RCF (ReComune Friend): An AI-based caller persona.

  5. RCR (ReComune Call Representative): RCR (ReComune Call Representative): A trained human representative who may conduct calls for quality assurance, operational needs, testing, safety, or any purpose determined by ReComune.

  6. Moderated Content: Any Customer-provided questions, messages, or instructions subject to approval or rejection by ReComune.

2. SCOPE OF SERVICE & PLAN-DEPENDENT FEATURES

ReComune Call provides general wellness check-ins only. It is not healthcare, monitoring, supervision, or emergency response.

Features may include, only if included in the Customer's plan:

  • AI or human calls
  • Custom questions (up to three)
  • Customer messages
  • Light conversation
  • Call recordings, transcripts, summaries, sentiment analysis
  • Email and/or SMS notifications

Not all features are available in all plans. Included features are disclosed at the time of purchase.

ReComune may use either an RCF or RCR for any call, at its sole discretion, without notice.

3. ELIGIBILITY & CUSTOMER REPRESENTATIONS

Customer represents and warrants that:

  • Customer is at least 18 years old and legally capable of entering into this agreement.
  • Customer has a legitimate relationship with the Member.
  • Customer has obtained all required express consent for calls, texts, recordings, and AI processing.
  • Customer has authority to provide the Member's contact information.
  • Customer will comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA).

4. MEMBER CONSENT & TCPA COMPLIANCE

Customer represents that the Member has been informed and consents that:

  • Calls may be made by AI or human callers.
  • Calls may be recorded, monitored, transcribed, and analyzed by AI.
  • Messages or notifications may be sent.

Customer agrees to indemnify and hold harmless ReComune from any claims arising from lack of consent, including TCPA violations or privacy claims.

5. CALL PROCESS

  • ReComune will attempt up to two (2) calls per scheduled check-in.
  • If both attempts fail, the call is logged as a Missed Call.
  • ReComune does not guarantee call completion, connection, or Member participation.

6. CUSTOMER-PROVIDED CONTENT (PLAN-DEPENDENT)

If included in the Customer's plan:

  • Custom questions are limited to three, must be respectful, concise, and simple.
  • Messages must be submitted at least 4 hours before a call.
  • All content is subject to moderation and may be rejected for any reason.

Customer agrees not to submit content requesting medical, legal, financial, diagnostic, or sensitive personal information.

7. MEMBER CAPACITY, BEHAVIOR & LIMITATIONS

Customer is solely responsible for ensuring the Member:

  • Has the capacity to participate.
  • Is willing to receive calls.
  • Understands the nature of the Service.

ReComune is not responsible for:

  • Member confusion, discomfort, distress, or emotional reaction.
  • Member statements, behavior, or actions.
  • Disputes between Customer and Member.

ReComune may suspend or terminate calls if a Member behaves abusively, threateningly, or in a manner that compromises safety.

8. DATA COLLECTION, USE & RETENTION

ReComune may collect and use data including recordings, transcripts, summaries, sentiment analysis, metadata, and responses in any manner necessary to:

  • Deliver and operate the Service
  • Improve AI systems and performance
  • Conduct quality assurance and audits
  • Develop new features
  • Ensure security and compliance

ReComune may use anonymized or aggregated data for analytics and research.

Data deletion is not guaranteed to be immediate or completedue to backups, logs, and legal obligations.

9. RECORDING CONSENT

Customer represents that Member consent has been obtained for call recording and monitoring. Continuing a call constitutes consent under applicable recording laws.

Customer indemnifies ReComune for any recording-related claims.

10. NO EMERGENCY, MEDICAL, OR SAFETY SERVICES

ReComune Call is NOT:

  • An emergency service
  • A medical or mental health service
  • A monitoring or welfare-check system
  • A substitute for caregivers or professionals

ReComune does Not:

  • Contact emergency services
  • Monitor safety or health
  • Escalate crises
  • Guarantee detection of distress

Customer agrees not to rely on the Service for safety, medical, or emergency decisions.

11. AI & HUMAN CALLER DISCLAIMERS

AI Limitations

AI outputs may be inaccurate, incomplete, misleading, or evolve over time. No AI output is guaranteed to be correct.

Human Caller Limitations

RCRs are not professionals and may make conversational errors.

ReComune is not liable for AI or human misunderstandings.

12. SERVICE AVAILABILITY & THIRD-PARTY DEPENDENCIES

ReComune does not guarantee uptime, delivery, or performance.

ReComune is not liable for failures caused by:

  • Phone carriers
  • Cloud providers
  • Internet outages
  • Device issues
  • Third-party platforms

13. PROHIBITED USES

The Service may not be used for:

  • Surveillance or monitoring
  • Evidence gathering
  • Fraud or impersonation
  • Harassment or coercion
  • Any unlawful purpose

14. FEES, BILLING & NO REFUNDS

Fees are charged as disclosed at purchase.All fees are non-refundable unless explicitly stated otherwise.

ReComune does not guarantee results, outcomes, satisfaction, or effectiveness.

15. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” RECOMUNE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • ReComune’s total liability is limited to fees paid in the previous 30 days.
  • ReComune is not liable for indirect, incidental, consequential, punitive, emotional distress, or reliance damages.

17. INDEMNIFICATION

Customer agrees to indemnify, defend, and hold harmless ReComune from any claims arising from:

  • Customer's breach of these Terms
  • Lack of Member consent
  • Member behavior
  • Customer-provided content
  • TCPA, privacy, or recording claims

18. FORCE MAJEURE

ReComune is not liable for failures caused by events beyond its reasonable control, including natural disasters, power outages, carrier failures, labor disputes, pandemics, or government actions.

19. NO THIRD-PARTY BENEFICIARIES

These Terms are solely between Customer and ReComune.Members are not third-party beneficiaries and have no rights under these Terms.

20. DISPUTE RESOLUTION & ARBITRATION

Any dispute shall be resolved by binding individual arbitration, not class or representative actions. Customer waives the right to a jury trial or class action.

Arbitration shall be governed by the AAA and conducted in Delaware unless prohibited by law.

21. ASSIGNMENT

ReComune may assign these Terms without restriction. Customer may not assign without written consent.

22. EXPORT & SANCTIONS COMPLIANCE

Customer agrees not to use the Service in violation of export control or sanctions laws.

23. NO WAIVER

Failure to enforce any provision does not constitute a waiver.

24. SURVIVAL

Sections relating to liability, indemnification, arbitration, data usage, and disclaimers survive termination.

25. MODIFICATIONS

Sections relating to liability, indemnification, arbitration, data usage, and disclaimers survive termination.

26. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware.
